1. Acceptance of Terms

Welcome to Quoteroo! These Terms of Service ("Terms") govern your use of the Quoteroo platform (quoteroo.com.au) operated by Quoteroo Pty Ltd ("we", "our", "us").

By accessing or using our Service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, please do not use our Service.

2. Description of Service

Quoteroo is an AI-powered quoting platform designed specifically for Australian tradies. Our Service allows users to:

• Create professional quotes through conversational AI chat
• Generate branded PDF quotes with GST calculations
• Manage customers and quote history
• Send quotes via multiple channels (web, email, Telegram)
• Integrate with accounting software (Xero)
• Access trade-specific catalogues and pricing insights

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time with reasonable notice.

3. Account Registration and Eligibility

Eligibility

You must be at least 18 years old and legally able to enter into contracts to use our Service. Our Service is intended for Australian businesses and tradies operating in Australia.

Account Creation

When creating an account, you must provide accurate and complete information. You are responsible for maintaining the security of your account and password. You must notify us immediately of any unauthorized use of your account.

One Account Per Organisation

Each business organisation may maintain only one active account. Multiple accounts for the same business may result in account suspension.

4. Subscription Plans and Billing

Plan Tiers

Billing Terms

• All prices are in Australian Dollars (AUD) and include GST where applicable
• Subscription fees are billed monthly or annually in advance via Stripe
• Quote limits reset on the first day of each billing period
• Unused quotes do not roll over to the next billing period
• Quotes are counted when first sent or PDF is first downloaded
• Annual subscriptions receive a 15% discount

Payment and Refunds

Payment is due upon subscription activation. We use Stripe for secure payment processing. Refunds are provided on a case-by-case basis and may be prorated for unused periods.

Cancellation

You may cancel your subscription at any time through your account settings or Stripe customer portal. Cancellations take effect at the end of the current billing period. No refunds are provided for partial months unless required by Australian Consumer Law.

5. Acceptable Use

Permitted Use

You may use our Service solely for creating legitimate business quotes and managing your trade business operations.

Prohibited Use

You agree NOT to:

• Use the Service for any illegal, fraudulent, or unauthorized purposes
• Violate any applicable laws, regulations, or third-party rights
• Attempt to gain unauthorized access to our systems or other users' data
• Upload malicious code, viruses, or harmful content
• Abuse, harass, or harm other users or their customers
• Scrape, crawl, or systematically collect data from our Service
• Reverse engineer or attempt to extract our source code
• Resell, redistribute, or create derivative works from our Service
• Generate false or misleading quotes or business information

6. Intellectual Property

Our Intellectual Property

The Service, including its original content, features, and functionality, is and will remain the exclusive property of Quoteroo Pty Ltd and its licensors. The Service is protected by copyright, trademark, and other intellectual property laws.

Your Content

You retain ownership of all content you create using our Service (quotes, customer data, business information). You grant us a limited license to use your content solely to provide and improve our Service.

AI Training

Your quote patterns and pricing data may be used in aggregate (anonymized) form to improve our AI algorithms and provide crowd pricing insights to other users. Your specific customer information and business details remain private.

7. Privacy and Data Protection

Your privacy is important to us. Our collection, use, and protection of your personal information is governed by our Privacy Policy, which forms part of these Terms.

By using our Service, you consent to the collection and use of your information as described in our Privacy Policy.

8. Disclaimers and Limitation of Liability

Service Availability

While we strive for high availability, we do not guarantee uninterrupted access to our Service. We may experience downtime for maintenance, updates, or technical issues.

AI Accuracy Disclaimer

Our AI-powered quoting system provides suggestions and estimates. You are solely responsible for reviewing, verifying, and approving all quotes before sending them to customers. We do not guarantee the accuracy of pricing suggestions or quote calculations.

Limitation of Liability

To the maximum extent permitted by Australian law, our total liability for any claims relating to the Service is limited to the amount you paid for the Service in the twelve (12) months preceding the claim.

We will not be liable for any indirect, incidental, special, or consequential damages, including lost profits, business interruption, or data loss.

9. Australian Consumer Law

Nothing in these Terms excludes, restricts, or modifies any rights you may have under the Australian Consumer Law or other applicable Australian consumer protection laws.

Where the Australian Consumer Law applies and we are unable to exclude liability, our liability is limited to the extent permitted by law.

10. Termination

Termination by You

You may terminate your account at any time through your account settings. Upon termination, your right to use the Service ceases immediately.

Termination by Us

We may terminate or suspend your account immediately if you breach these Terms, engage in fraudulent activity, or for any other reason at our sole discretion.

Effect of Termination

Upon termination, you will lose access to your account and data. We may retain your data for legal obligations and may provide data export functionality for a limited period after termination.

These Terms are governed by the laws of Victoria, Australia, without regard to conflict of law principles. Any legal action or proceeding relating to these Terms will be brought exclusively in the courts of Victoria, Australia.
